Founding 10 Referral Program Terms

These terms govern the Founding 10 referral program (the “Program”) run by Contengine Tech LLC (“Contengine,” “we,” “us”). They add to our Terms of Service and Privacy Policy, which also apply. By taking part you agree to these terms. If they conflict with the Terms of Service on the Program, these terms control.

Program period

The Program starts on October 1, 2026 at 00:00:00 UTC. It ends at the later of: (a) December 31, 2026 at 23:59:59 UTC; and (b) the moment the 10,000th paid referral across the whole Program is recorded. So if 10,000 paid referrals are recorded before December 31, 2026, the Program still runs until December 31, 2026. If they are not, the Program keeps running until the 10,000th paid referral is recorded. Only paid referrals recorded during the Program period count. Any countdown on our site shows the earliest possible end date.

Who can take part

You can take part if you are a legal resident of the United States, at least 18 years old, and hold a Contengine account in good standing. You do not need a paid subscription to get a referral link or to take part. Owners, employees, and contractors of Contengine, and members of their households, cannot win. One participant per account. We may ask you to confirm your identity, age, and residency at any time.

What counts as a paid referral

A referral counts as a paid referral only when all of these are true:

• A new Contengine organization is created through your personal referral link.
• That organization’s first subscription payment clears.
• The payment is not refunded, reversed, or disputed. If it later is, the referral stops counting.
• It is not a self-referral, and it is not an account you or your household control.

Each referred organization can count once, for one participant. Referrals are credited to the link that was used when the organization was created. Joining an existing organization is not a referral.

How winners are chosen

When the Program ends, the 10 eligible participants with the most paid referrals during the Program period are the winners (the “Founding 10”). If two participants have the same count, the one who reached that count first ranks higher. A participant with no paid referrals cannot win. Our records decide the counts and the ranking. We will verify the results before any award.

The prize: 10% equity

The Founding 10 share a pool equal to 10% of the equity of Contengine Tech LLC, measured on a fully diluted basis when the awards are granted. Each winner’s share is their paid referrals divided by the total paid referrals of all 10 winners, multiplied by the 10% pool. Shares are rounded to the nearest tenth of a percent so that they add up to exactly 10%.

What the equity is, and what it is not:

• The exact form of the interest (for example membership units, profits interests, or an equivalent economic interest) and its terms will be set out in a separate written grant agreement. The award is only made when you and Contengine sign that agreement.
• The award is subject to our operating agreement, the grant agreement, and applicable law. It is fully vested when granted: you earned it through your referrals, so there is no further waiting period. It may carry no voting, management, or information rights.
• Your percentage can be reduced (diluted) later, for example when the company raises money or issues equity to others. Your interest will be diluted at the same rate as the founders’ own interests in the same event. No one gets special protection from dilution that you do not also get.
• The interest cannot be sold or transferred except as the grant agreement and operating agreement allow. There may never be a way to sell it.
• The equity may be worth little or nothing. We make no promise about its value, about any sale of the company, or about any payout.
• The Program is not an offer to sell securities and is not investment advice. You do not pay anything to take part or to receive an award.
• You are responsible for any taxes on the award. You should get your own tax advice. We may need tax forms from you before we grant it.

To receive an award, a winner must respond to our notice, confirm eligibility, give any tax information we need, and sign the grant agreement within 60 days of our notice. A winner who does not forfeits the award. We may make the award in a different but equivalent form if the law requires it. No cash or other substitute is offered.

How you can promote your link

Promote your link honestly. When you share it, make clear that you may earn a reward if people subscribe. Do not spam, buy ads that use our name, pose as Contengine, make false claims about the Service, or use bots, fake accounts, or paid sign-up schemes.

Fraud and disqualification

We may review any referral. We may remove referrals, disqualify participants, or cancel an award if we reasonably believe there was fraud, abuse, self-referral, a breach of these terms, or an attempt to game the ranking. Our decision on these matters is final.

Other terms

• Taking part does not make you an employee, agent, or partner of Contengine.
• The Program is void where prohibited or restricted by law.
• We will only change or end the Program early if the law requires it. If we must, we will post the change here and update the date above. Fraud by individual participants is handled under “Fraud and disqualification” and does not end the Program.
• The $10 AI credit offer inside the app is separate from this Program. Paid referrals count toward both.

Limitation of liability

To the maximum extent permitted by law, Contengine Tech LLC is not liable for any loss arising from the Program, including technical failures, lost or misattributed referrals, or the value of any award. Nothing in these terms limits liability that cannot be limited by law.

Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, and the courts located there have exclusive jurisdiction.
